This VPN Subscription Agreement is entered into on this ("Effective Date") by and between StarVPN ("Provider"), and ("Customer"), located at .

1. Services Provided

1.1 Provider agrees to provide VPN Subscription services ("Services") for the Customer's website as specified in the order form or online purchase.

2. Term and Termination

2.1 This Agreement shall commence on the Effective Date and continue for an initial term of .

2.2 This Agreement will automatically renew for successive terms of unless terminated by either party with written notice prior to the end of the current term.

2.3 Either party may terminate this Agreement for cause if the other party breaches any material term of this Agreement and fails to cure such breach within after receipt of written notice specifying the breach.

3. Fees and Payment

3.1 Customer agrees to pay Provider the fees specified in the order form or online purchase for the Services.

3.2 Payment is due upon receipt of the invoice. Late payments may incur a late fee of per month.

3.3 Provider reserves the right to suspend Services for non-payment until full payment is received.

4. Customer Responsibilities

4.1 Customer agrees to use the Services in compliance with all applicable laws and regulations.

4.2 Customer shall not use the Services to engage in any illegal or harmful activities, including but not limited to spamming, hacking, or distributing malware.

4.3 Customer is responsible for maintaining the security of their account, including safeguarding login credentials.

5. Provider Responsibilities

5.1 Provider shall use commercially reasonable efforts to maintain the availability of the Services.

5.2 Provider shall provide customer support as specified in the order form or online purchase.

6. Limitation of Liability

6.1 Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to this Agreement or the use of the Services, even if Provider has been advised of the possibility of such damages.

6.2 Provider's total liability to Customer for any damages arising out of or relating to this Agreement or the use of the Services shall not exceed the amount paid by Customer to Provider in the twelve (12) months preceding the event giving rise to such liability.

7. Indemnification

7.1 Customer agrees to indemnify and hold harmless Provider from any and all claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to Customer's use of the Services, including any breach of this Agreement by Customer.

8. Miscellaneous

8.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.

8.2 This Agreement shall be governed by and construed in accordance with the laws of the .

8.3 Any notices required or permitted to be given under this Agreement shall be in writing and shall be deemed given when delivered by hand, sent by registered or certified mail (return receipt requested), or sent by recognized courier service to the address of the party specified above.

8.4 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
